STANIFORTH PR terms and conditions:

* Notwithstanding anything to the contrary in your terms of business, this order is placed with you ,the supplier, only upon the condition that
* 1. it relates solely to the specification and the amount quoted thereon;
* 2. you accept that any material produced in the course of complying with and completing this order ('the Material' which expression by way of example but not exclusion of other matters shall include film, plates, artwork, tapes, discs, bromides, blocks or stereos) are the sole and exclusive property of Staniforth Limited and that you will (unless otherwise specifically authorised by Staniforth Limited in writing) at all times store and hold the Material on our behalf and that you and your heirs and successors will immediately upon our request return them to us in good condition without any further charge;
* 3. you warrant that Material is original, is not libellous and infringes no other third party rights;
* 4. you warrant that you will keep Staniforth Limited indemnified fully and save it harmless against all direct and indirect losses, damage, injury, claims demand, cost expenses, charges or liabilities incurred which arise out of or relate to any extent to a breach by you of these Terms and Conditions;
* 5. the copyright and all other intellectual or industrial property rights in materials produced by you in the course of fulfilling this Purchase Order is the property of Staniforth Limited and you undertake, if called on to do so in writing, to assign those rights to Staniforth Limited as beneficial owners;
* 6. you warrant to Staniforth Limited that you have taken all reasonable steps to obtain from any model employed by you the model release forms in respect of the use of that model.s likeness in accordance with the terms set out in this order of Equity Contract where appropriate;
* 7. you unconditionally waive any moral rights under sections 77-83 of the Copyright Designs and Patents Act 1988 and any subsequent enactment thereof exercisable by you in relation to the Material and you will ensure that all those involved in the creation of the Material execute unconditional waivers of all such moral rights and they might otherwise have exercised in relation to the Material;
* 8. you will indemnify Staniforth Limited against any expense we may incur as a result of any moral rights claims brought against us in respect of the Material and any other loss we may incur as a result of any breach of the warranties at clauses 2 and 5;
* 9. the terms and subject matter of this Purchase Order shall be confidential and they will not be used, disclosed or reproduced by you or anybody connected with you except for the purpose of fulfilling this Purchase Order;
* 10. the supply of any of the Material pursuant to the Purchase Order shall constitute an acceptance by you of these terms without the variation or addition notwithstanding that you may prior to or with such supply seek to make variations or additions to these terms unless such variations or additions have prior to such supply been accepted in writing by Staniforth Limited;
* 11. your invoice must not pre-date our order
* 12. payment terms are 60 days following the month of invoice, on receipt of supplier statement
